Terms and Conditions of Service

Effective Date: October 22, 2025

1. The Performance Partnership Model

Growth Catalyst ("Agency") agrees to provide comprehensive digital growth services, including website development, technical support, and performance advertising, to the Client at **Zero Upfront Cost**. The Agency shall cover all immediate expenses related to advertising spend, web hosting, and development labor.

2. Compensation (Revenue Share)

The Agency's compensation shall be an agreed-upon percentage (the "Revenue Share Percentage") of the **New Revenue** directly generated from the advertising campaigns managed by the Agency.

**New Revenue Definition:** New Revenue is defined as gross sales, leads, or bookings verifiably tracked and attributed to the Agency's advertising efforts during the active Term.
**Payment Schedule:** Revenue Share payments are due [e.g., net 7 days] after the receipt of the New Revenue by the Client.

3. Ownership and Client Responsibilities

The Client retains full ownership of their business, brand, customer data, and all digital assets (website, domain, social media accounts) developed or managed under this agreement. The Client agrees to provide timely access, data, and cooperation necessary for the Agency to effectively manage campaigns and services.

4. Term and Termination

This agreement shall commence on the Effective Date and continue until terminated by either party with a minimum of thirty (30) days written notice. Upon termination, the Client assumes full financial responsibility for ongoing hosting, maintenance, and any pre-existing advertising contracts or subscriptions.

5. Limitation of Liability

The Agency is not liable for any indirect, incidental, or consequential damages resulting from the use or inability to use the services provided. The Agency's liability is limited to the total amount of Revenue Share received from the Client in the three (3) months preceding the claim.
